This area is responsible for advising to companies and their partners or shareholders, both in the constitution of companies and in purchase and sales operations and associations (joint ventures). It also acts in special operations, such as mergers, acquisitions and capital raising, as well as jointly with the tax area in structured operations. The main services include the following:
• The formation of corporations, alterations articles of incorporation, drafting corporate documents and shareholder agreements;
• Mergers and acquisitions;
• Due diligence;
• Planning and reformulation of internationalization of companies (operational subsidiaries, off-shore companies etc);
• Register of foreign investments, in cash or goods, in the Brazilian Central Bank;
• Advisory service for capitalization, remittance of profits and dividends and the repatriation the capital of corporations;
• Planning and support for foreign investments in Brazil;
• Advisory service for financial operations or public or private issues of securities;
• Assessment and analysis of banking, fiscal and exchange legislation;
• Legal advisory services related to the financial structure of investment and privatizations projects of state-owned companies;
• Advisory service and support to operations which include ratification by the Brazilian authorities for the defense of competition and abuse of economic power (Brazilian Commission for Economic Defense);
• Legal advisory service to obtain resources abroad by Brazilian companies.
